These Terms of Service are between Route LLC (“Route”, “Route.to”, “We” or “Us”) and you and/or your company (collectively, “You” or “Yourself”). By implementing or using the Service (as defined below) on Your website, You agree that You are authorized to accept these Terms of Service on behalf of Yourself and that You are bound by these Terms of Service. If you do not agree to these terms, do not use our services.

We want to help you and your company to get the best results, the best ROI for your marketing campaigns. That’s why our Marketing Automation Software was built to perform all of those activities at its best with a simple implementation so our costumers can start as soon as they log in. If You decide to register for the Service, You must provide certain limited information about Yourself to Us and create an account. By registering for the Service, We will provide You with access to the Service as a free trial user until We notify You by email of the end of the free trial period (“Free Trial Period”). The term of the Free Trial Period will begin on the date of Your registration on the Site and continue until we notify You by email, unless extended or sooner terminated. Upon completion of the Free Trial Period, Route LLC may offer You a full membership to the Site.
You agree to be responsible for your account password as well as the acts and/or omissions of any third party using the Service through Your account. You must notify Route LLC immediately of any unauthorized use of Your account. We reserve the right to refuse the Service to any user and terminate Your account for any reason within Route LLC’s sole discretion. You can opt-out of any marketing emails from Us through your account settings.
You are solely responsible for any content and other material that you submit, publish, transmit, or display on, through, or with our Services (“Content”). You grant us a non-exclusive, worldwide, royalty-free and fully paid license to use the Content, as necessary, for purposes of providing the Services to you and other users of the Services. All rights in and to the Content not expressly granted to us in this Agreement are reserved by you.
Upload, post, email, or otherwise transmit any Content that contains unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable; Harm us or third parties in any way; Impersonate any person or entity, or otherwise misrepresent your affiliation with any person or entity; Upload, post, email, or otherwise transmit any Content that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; Intentionally or unintentionally violate any applicable local, state, national or international law or regulation; Route LLC may, but is not obligated to, monitor Customer Data and remove any content or prohibit any use of the Services, including by refusing to send e-mail to your end users, if Route LLC believes in its sole discretion such content or use may be (or is alleged to be) in violation of these Terms of Service or any applicable laws or may impact delivery.
You acknowledge and agree that if you provide data regarding your end users or e-mail campaigns to Route LLC in connection with your use of the Services (“Customer Data”), you hereby do and shall grant Route LLC a non-exclusive, worldwide, royalty-free, transferable right to use, modify, reproduce, and display such Customer Data (including all related intellectual property rights) to (i) provide the Services and (ii) improve the Services’ ability to deliver web and application analytics services to you. You warrant, represent and agree that you have the right to grant Route LLC the rights set forth above. Any feedback relating to the Services (“Feedback”) submitted to Route LLC shall become the property of Route LLC. Route LLC will not be required to treat any Feedback as confidential, and will not be liable for any ideas or incur any liability as a result of any similarities that may appear in our future Services, or operations.
You represent and warrant that you own all right, title and interest, or possess sufficient license rights, in and to the Customer Data as may be necessary to permit the use contemplated under this Agreement. You bear all responsibility and liability for the accuracy, completeness, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right of the Customer Data and Route LLC’s access, possession and use as permitted herein.
All information transmitted through the Services is the sole responsibility of the party from whom such information originated. Route LLC does not assume liability for any Customer Data. You are responsible for all Customer Data submitted under your account, including Customer Data contributed by a third party under your account.
You agree not to, or to allow others to: (i) adapt, alter, modify, decompile, translate, make derivative works, disassemble, or reverse engineer the Service, including without limitation, the source code and any other underlying ideas or algorithms of the Software (except to the extent applicable laws specifically prohibit such restriction or where in accordance with the API terms of service); (ii) copy the Software; (iii) transfer, sublicense, loan, sell, lease, use for timesharing or service bureau purposes, or otherwise commercially use or exploit the Service; or (iv) use the Service in violation of any applicable regulation or law; or (v) ship, divert, trans-ship, transfer, export or re- export the Service or any component thereof into any country or use it in any manner prohibited by any export control laws, restrictions, or regulations administered by the U.S. Commerce Department’s Bureau of Export Administration, the U.S. Department of Treasury’s Office of Foreign Assets Control or any other applicable government agency.
You are responsible for all of your activity in connection with the Services. You may not post or transmit, or cause to be posted or transmitted, any communication designed or intended to obtain password, account, or private information from any Route LLC user.
Route LLC will not be liable for any failures in the Services or other problems which are related to your Customer Data or any equipment or service outside of Route LLC’s facilities or control. You shall not use any part of the Site or Services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store material that is deemed threatening or obscene, or engage in any kind of illegal activity. You will not run Maillist, Listserv, any form of auto-responder, or spam on the Site or through the Services. You will use the Services only in compliance with all applicable laws (including but not limited to policies and laws related to spamming, privacy, intellectual property, consumer and child protection, obscenity, or defamation).
You represent, warrant and covenant that your use of the Services shall at all times comply with Route LCC’s Anti-Spam Policy, as may be amended by Route LCC from time to time, and you will not access or use third party mailing lists in connection with preparing or distributing e-mail through the Services.
Route is providing the services on an “as is” basis for use at your own risk. Route does not warrant that the operation of the services will be uninterrupted or error-free. Route disclaims all warranties, whether express, implied or statutory, including without limitation, any implied warranties of title, non-infringement of third party rights, merchantability or fitness for a particular purpose. The services, content, results, site and any software are provided on an “as is” basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, title, fitness for a particular purpose or non-infringement. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitations may not apply to you.

You shall provide Route LLC with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in termination of your access to and use of the Services. You shall never use another User’s account or registration information, for Route LLC’s or any third party services you access through Route LLC, without permission. Route LLC reserves the right to refuse registration of or cancel an account in its discretion. You shall be responsible for maintaining the confidentiality of your Route LLC password and for all activity of any person who accesses the Services using your password.
You irrevocably authorize Route LLC to disclose your personally identifiable information or the personally identifiable information of your end users collected by Route LLC at the request of any state, federal or other governmental agency or in response to any judicial process (including, without limitation, a subpoena).
You will indemnify and hold Route LLC, its directors, officers, employees, agents, and representatives harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of your access to or use of the Services, your violation of this Agreement, or your infringement, or the infringement by any third party using your registration information, of any intellectual property, or other right of any person or entity, including but not limited to any third party claims relating to your disclosure of end personally identifiable information of your end users to Route LLC.
We and our suppliers and licensors will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of these damages), resulting from your use of our services and service content. Under no circumstances will the total liability of us and our suppliers and licensors of all kinds arising out of or related to your use of the services and service content (including but not limited to warranty claims), regardless of the forum and regardless of whether any action or claim is based on contract, tort, or otherwise, exceed the amounts, if any, that you have paid to us for your use of the services and service content. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
Either party may terminate the Services at any time by notifying the other party by any means. Route LLC may also terminate or suspend any and all Services immediately, without prior notice or liability, if you breach any of the terms or conditions of this Agreement. Any fees paid hereunder are non-refundable. Upon any such termination, your right to use the Services and access Results will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
Route LLC may charge a monthly subscription fee for use of the Services. In the event you purchase paid Services, your credit card will be charged on the first day of each monthly billing cycle beginning on your sign-up date. You may cancel your Route LLC subscription at any time, but once you have been charged a subscription fee, there are no refunds, partial or in full, for that fee.
Please review our Privacy Policy, which governs the use of personal information by Route LLC and to which you agree to be bound as a user of the Services.
